General terms of sale<\/span><\/h1>\n

These general terms override all previous versions and apply to all contracts
\nand additional clauses entered into after June 1, 2009.<\/em><\/p>\n[\/vc_column_text][\/vc_column][\/vc_row][vc_row][vc_column width=”1\/2″][vc_column_text css=”.vc_custom_1765441756156{margin-bottom: 0px !important;}”]\n

Article 1 \u2013 General provisions<\/h6>\n

Unless otherwise agreed in writing by the client and s.a. Tilman, all our offers
\nand sales are made on the general terms found below. Any change in such
\ngeneral terms shall be the subject of a formal consent in writing by s.a. Tilman.<\/p>\n

Article 2 \u2013 Price<\/h6>\n

Our prices are marked, before taxes and in euros, regardless of the place the
\ncontract is entered into.
\nFor the Belgian market and unless otherwise specified, our deliveries are made
\nfree of charge for any order exceeding an amount of 70\u20ac before VAT. For any
\ndelivery relating to an order under 50\u20ac before VAT, we reserve the right to
\nincrease our invoice by a fixed amount of 13\u20ac before VAT for carriage costs and
\nhandling and packaging costs.
\nFor the other markets, unless otherwise specified, all costs are payable by the
\nclient. Such costs include but are not limited to, carriage, packaging, checking
\ncosts, customs and import duties, VAT, taxes, as well as any other present or
\nfuture costs and duties.<\/p>\n

Article 3 – Payment<\/h6>\n

Unless otherwise agreed, all our invoices are payable on 30 day terms after
\nthe invoice date. If formally mentioned in the invoice, the discount is deductible
\nin the event the full amount is paid within 10 days after receipt of the invoice.
\nWithout prejudice to all other damages and interests, the amount of invoices
\noutstanding on term shall automatically bear an interest of 10% as from the day
\nafter the term, without any injunction, the occurrence of the term constituting
\nan injunction.
\nIn addition, in pursuance of article 1152 of the Civil Code, failing the settlement
\nof the invoice on term, a fixed contractual compensation amount of 12% of the
\namount of each invoice shall be owed with a minimum amount of 50\u20ac.<\/p>\n

Article 4 – Ownership<\/h6>\n

s.a. Tilman shall retain the ownership of the products under the agreement
\nuntil the full settlement of all outstanding amounts. As long as the full
\nsettlement has not been completed, the client shall not alienate the delivered
\nproducts nor any rights pertaining to the contracts and agreements in any way

Article 5 – Delivery time<\/h6>\n

Our delivery times are given for informational purposes. In addition to
\nforce majeure events, all unforeseen events preventing the manufacturing,
\nprocessing, packaging or shipping of the sold products shall also be considered
\nas a force majeure event exempting s.a. Tilman form any duty.<\/p>\n

Article 6 – Carriage<\/h6>\n

Unless otherwise specified all deliveries made by s.a. Tilman to the domestic
\nBelgian market are the responsibility of the carrier designated by s.a. Tilman.
\nThe client shall make sure to report apparent carriage damages to the driver
\nat the time of delivery or failing, by advising the customer department of s.a.
\nTilman within 24 hours.<\/p>\n

Article 7 – Complaints<\/h6>\n

Any complaint regarding product or order compliance shall be sent to s.a.
\nTilman within three working days after the receipt of the products. After that
\ntime, no complaint may be taken into consideration and the delivery shall be
\ndeemed compliant.<\/p>\n

Article 8 \u2013 Jurisdictional clause<\/h6>\n

Unless formally and previously provided in writing regarding the terms of
\nsettlement by means of arbitration, all disputes shall be brought to the Courts
\nof the legal district of Namur (B), whatever the place where the contract is
\nentered into and the place where it is to be performed. The laws of Belgium
